Terms of Service
1. Agreement to these terms
These Terms of Service govern your use of MergeYard, a product operated by CatsDojo LLC. They apply to the MergeYard website, Zendesk application, related software, APIs, documentation, and support services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Service scope
MergeYard provides collaboration and workflow tools for support teams, beginning with Zendesk-focused workflows such as ticket-linked internal collaboration, workspace administration, and related integrations.
The specific features available to you depend on your current product configuration, subscription, and any applicable order form or written agreement.
3. Accounts, administrators, and security
You are responsible for maintaining the confidentiality of account credentials and for all activity occurring under your account or workspace.
- Keep passwords, tokens, and administrative credentials secure.
- Promptly notify MergeYard of unauthorized access or suspected misuse.
- Ensure that your users and administrators use the Service in compliance with these Terms.
4. Orders, subscriptions, and commercial terms
Paid subscriptions may be governed by an order form, Marketplace transaction, invoice, or other commercial document. If so, that document controls the purchased plan, pricing, billing cadence, renewal terms, taxes, and any negotiated commercial terms.
Trial, beta, preview, or early-access features may be offered separately and may be modified or discontinued at any time.
5. Customer data
As between you and MergeYard, you retain all right, title, and interest in and to data, content, messages, files, configuration details, and other information submitted to or processed through the Service on your behalf ("Customer Data").
You grant MergeYard a limited right to host, process, transmit, display, and otherwise use Customer Data only as necessary to provide, secure, support, and maintain the Service, comply with law, and generate de-identified or aggregated analytics that do not identify you or your end users.
MergeYard does not sell Customer Data and does not use Zendesk-originated Customer Data to train generalized AI models unless that use is clearly disclosed and separately authorized.
6. Confidentiality
Each party may receive non-public business, technical, or commercial information from the other party that reasonably should be understood as confidential. The receiving party will use that information only to perform or receive the Service or to exercise rights under these Terms, will protect it using reasonable care, and will not disclose it except to personnel or advisers who need to know it and are bound by confidentiality obligations.
7. Acceptable use
You may not use the Service to:
- violate applicable law or third-party rights;
- transmit malware or harmful code;
- interfere with or disrupt the Service or related systems;
- attempt unauthorized access to the Service or other accounts;
- reverse engineer the Service except where prohibited by law; or
- misuse third-party integrations, including Zendesk, in violation of their terms.
8. Third-party services
The Service may interoperate with third-party services such as Zendesk. You are responsible for obtaining any rights, consents, or subscriptions needed for your use of those third-party services.
MergeYard is not responsible for third-party services or for changes those providers make that affect compatibility, availability, or functionality.
9. Intellectual property
MergeYard and its licensors retain all rights in the Service, including software, documentation, branding, and related intellectual property, excluding Customer Data.
Subject to these Terms and any applicable commercial terms, MergeYard grants you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during the applicable subscription term.
10. Privacy, security, and data processing
MergeYard's handling of personal information is described in our Privacy Policy. Our public security posture is described on the Security page.
Enterprise customers may request additional documentation during review, including data-processing terms, security review follow-up, and procurement materials.
11. Warranties and disclaimers
MergeYard will use commercially reasonable efforts to provide the Service in a professional manner. Except as expressly stated in a signed agreement, the Service is provided on an "as is" and "as available" basis.
To the maximum extent permitted by law, MergeYard disclaims implied warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
12. Limitation of liability
To the fullest extent permitted by law, MergeYard will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, arising from or related to your use of the Service.
If you have a separately negotiated enterprise agreement with MergeYard, the liability terms in that agreement control over this public page.
13. Suspension, termination, and data handling after termination
You may stop using the Service at any time. MergeYard may suspend or terminate access if necessary to address security risk, material misuse, non-payment under applicable commercial terms, or legal compliance requirements.
On termination or expiration, access rights end and Customer Data return or deletion is handled under the applicable subscription terms, administrator controls, and any written agreement governing the account.
14. Changes to the Service or these Terms
MergeYard may update the Service from time to time, provided that we will not intentionally remove the core functionality of a paid subscription during its current term except where required for security, legal, or third-party platform reasons.
We may also update these Terms from time to time. If we make a material change, we will post the updated Terms on this page and update the date above. Continued use of the Service after the effective date of the updated Terms constitutes acceptance of the revised Terms.
